MITM Club Affiliate Program Agreement

We want to warmly welcome you to MITM Club’s Affiliate Program (“Program”).

This Affiliate Agreement (the “Agreement”) forms a contract between you and us that governs your participation in the Program and governs your application for, and any subsequent participation in, the Program.

By clicking “I Accept the Terms and Conditions” and submitting, you indicate that you have read and understood this Agreement and agree to be bound by its terms.

In this Agreement, “you” includes you, your company, its directors, officers, employees, and agents. “We,” “us,” or “our” refers to MITM Club Inc., its owners, officers, employees, and agents.

1. Program Overview

The Program allows you to sell and/or promote our products and earn commissions for successful sales. To track these sales, you will receive a unique Affiliate ID. You will use the Affiliate ID within each URL to advertise our products and/or services. You understand that MITM Club has the sole and exclusive right to determine your eligibility to participate or continue participating in the Program at any time.

2. Commissions

• Eligibility: Commissions are earned for completed sales (“Sales”) made using your Affiliate ID.

• Calculation: Commission amounts are outlined in the affiliate portal and may change at our discretion.

• Refunds/Chargebacks: If a sale results in a refund or chargeback, the commission for that sale will be deducted from your future commissions.

3. Timing and Limits on Payments

• Payment Schedule: Commissions will be paid 30 days following the end of the month in which a sale occurs.

• Minimum Threshold: Payments require a minimum commission balance of CAD $100. If this threshold is not met within 90 days, the balance will be forfeited.

• Fraudulent Sales: Commissions from fraudulent or unlawful sales will not be paid.

4. Tax Responsibilities

You are solely responsible for complying with all applicable Canadian and Ontario tax laws, including the payment of required taxes and the filing of all necessary returns and documents.

To receive payments, you must provide us with your valid SIN (Social Insurance Number) or business number for tax reporting purposes. Failure to do so may result in forfeiture of commissions.

5. Term and Termination

• Term: This Agreement is effective upon acceptance and remains in effect for one year, automatically renewing for successive one-year periods unless terminated.

• Termination Without Cause: Either party may terminate this Agreement with 30 days’ written notice.

• Termination for Cause: We may terminate this Agreement immediately if you fail to comply with its terms or violate any applicable laws. Commissions owed to you will be forfeited in such cases.

6. Advertising and Compliance

• General: You may not use advertising or publicity that:

• Violates any Canadian, provincial, or municipal laws or regulations.

• Violates intellectual property or other rights of third parties.

• Social Media Compliance: When promoting MITM Club, you agree to:
1. Tag @mitmclub on social media posts.
2. Use the hashtag #MITMClub.
3. Include #ad in posts where applicable.

Any statements you make must reflect your honest and current opinions, based on your personal experience with our products or services. You must not make misleading or false claims.

7. Disparagement and Intellectual Property

• Disparagement: You agree not to disparage MITM Club, its employees, or agents in any public or private forum.

• Intellectual Property: All rights to MITM Club’s intellectual property, including trademarks and copyrights, remain exclusively with us. You may use such property only as expressly authorized in this Agreement and solely for the purposes of participating in the Program.

8. No Guarantee of Earnings

We make no guarantees regarding the amount of commission you will earn through the Program.

9. Limitations of Liability

• MITM Club will not be liable for any indirect, incidental, special, or consequential damages related to this Agreement, including loss of profits, data, or goodwill.

• MITM Club’s liability to you will not exceed the commissions paid to you in the two months prior to the claim or CAD $2,000, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless MITM Club, its employees, and agents from any claims, liabilities, or damages arising out of your actions or omissions under this Agreement.

11. Independent Contractor Status

You acknowledge that you are an independent contractor and not an employee, agent, or partner of MITM Club. You are responsible for your own taxes, insurance, and compliance with applicable laws.

12. Entire Agreement

This Agreement, along with MITM Club’s Terms of Use, constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.

13. Governing Law and Dispute Resolution

• Governing Law: This Agreement shall be governed by and interpreted in accordance with the laws of Ontario, Canada.

• Dispute Resolution: Any disputes arising under this Agreement will be resolved through binding arbitration in Toronto, Ontario, in accordance with the rules of the Arbitration Act, 1991 (Ontario).

Each party waives the right to bring any dispute as a class action or to act as a representative in a class proceeding.

14. Amendments and Modifications

Any modifications to this Agreement must be in writing and signed by MITM Club to be effective.

By participating in the MITM Club Affiliate Program, you agree to the terms outlined above.
